Our Services

Service Description

Mudra Agency provides B2B marketing services including but not limited to demand generation, lead generation, account-based marketing, content syndication, and marketing campaign management. The specific services provided will be outlined in separate service agreements or statements of work.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of our services.

Intellectual Property Rights

Our Content

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Mudra Agency or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of any content you submit to us. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of providing our services to you.

Feedback

If you provide us with any feedback, suggestions, or ideas regarding our services, you grant us the right to use such feedback without any obligation to compensate you.

Payment Terms

Payment terms for our services will be specified in separate service agreements or invoices. You agree to pay all fees and charges in accordance with the agreed-upon payment terms. All fees are non-refundable unless otherwise specified in writing.

We reserve the right to suspend or terminate your access to our services if payment is not received when due.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of these Terms.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no warranties regarding the accuracy, reliability, or completeness of any content or information provided through our services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MUDRA AGENCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount paid by you, if any, for accessing our services during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Mudra Agency and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any third-party rights.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.

General Provisions

Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and Mudra Agency regarding our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
